TERMS OF SERVICE

These Terms of Service (“Terms”) are entered into by and between Chibizen Inc., a Florida corporation (“CHIBIZEN,” “Company,” “we,” “us,” or “our”), and any user or visitor (“you” or “User”) accessing or using the CHIBIZEN website, products, or services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.

1. AGE REQUIREMENTS

• You must be at least 18 years old to create an account, make purchases, or use the Services.
• CHIBIZEN products are collectible display items intended for ages 15+ and are not designed or marketed as toys.
• The Services are not directed to individuals under 18, and CHIBIZEN does not knowingly collect personal information from minors.

2. PRODUCT SAFETY & DISCLAIMERS

Safety Warning

Not suitable for children under 3 years of age.

CHIBIZEN products are collectible display items intended for ages 15+. They are not toys and should be handled responsibly.

Where applicable, CHIBIZEN plush collectibles are tested to meet relevant safety standards, including ASTM F963 (U.S.) and/or EN71 (EU). Products are intended for display only. Surface clean only. Do not machine wash.

Safety & Handling Guidelines

• Keep packaging materials out of reach of children and pets.
• Mystery Boxes and collectibles may contain small decorative parts or accessories.
• Accessories such as necklaces, relics, charms, or attachments are decorative only and not intended to be worn.
• Do not expose products or packaging to open flames, excessive heat, or hazardous environments.

Supervision & Responsibility
Adult supervision is recommended when products are present around children. Collectors are solely responsible for safe storage, display, and handling.

3. PROHIBITED CONDUCT

You may not use the Services in any manner that violates applicable law or harms CHIBIZEN or others. Prohibited conduct includes, but is not limited to:

• Licensing, selling, transferring, or commercially exploiting the Services
• Copying, modifying, reverse engineering, or creating derivative works
• Using bots, scrapers, or automated tools without permission
• Circumventing security features or accessing accounts without authorization
• Uploading malware, viruses, or harmful code
• Impersonating another person or entity
• Infringing CHIBIZEN intellectual property rights

Violations may result in suspension, termination, and legal action.

4. INTELLECTUAL PROPERTY

All content, characters, artwork, designs, text, and software are the exclusive property of CHIBIZEN or its licensors and are protected by applicable intellectual property laws.
No reproduction, distribution, modification, or use is permitted without express written consent from CHIBIZEN.

5. SWEEPSTAKES, PROMOTIONS & OFFERS

From time to time, CHIBIZEN may offer sweepstakes, promotions, surveys, or special offers. Additional terms may apply and are incorporated into these Terms by reference. Participation is voluntary. Void where prohibited by law.

6. NFT PLATFORM (SIDE FEATURE)

CHIBIZEN may offer NFT-related features allowing users to connect third-party wallets.

• CHIBIZEN is not responsible for third-party platforms, blockchains, wallets, or smart contract functionality (including OpenSea, Ethereum, Polygon, or similar services).
• Users assume all risks associated with blockchain transactions.

7. DISCLAIMERS

THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
To the fullest extent permitted by law, CHIBIZEN disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
CHIBIZEN does not guarantee uninterrupted, secure, or error-free operation of the Services.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law, CHIBIZEN shall not be liable for any indirect, incidental, consequential, special, or punitive damages.
CHIBIZEN’s total liability shall not exceed the greater of:

• The amount paid by you to CHIBIZEN in the last six (6) months, or
• $100 USD

9. INDEMNIFICATION

You agree to indemnify and hold harmless CHIBIZEN and its affiliates from any claims arising from:

1. Your use of the Services
2. Your violation of these Terms
3. User Content you submit
4. Violation of third-party rights
5. Misuse of CHIBIZEN products

This obligation survives termination.

10. DISPUTE RESOLUTION & GOVERNING LAW

• These Terms are governed by the laws of the State of Florida.
• Parties agree to attempt informal resolution for 60 days before arbitration.
• Binding arbitration shall take place in Palm Beach County, Florida, under AAA rules.
• You waive the right to a jury trial and participation in class actions.

11. SEVERABILITY

If any provision is deemed unenforceable, the remaining provisions remain in full force and effect.

13. CHANGES TO TERMS

CHIBIZEN reserves the right to update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.

14. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and posted policies, constitute the entire agreement between you and CHIBIZEN.
